These Terms govern your access to and purchase of Copilot Buddy products from Loopdesk Technologies LLP. By placing an order or using our website, hardware, or firmware, you agree to these Terms.

1. Who we are

Copilot Buddy is designed, sold, and fulfilled by Loopdesk Technologies LLP ("Loopdesk", "we", "us", or "our"), a Limited Liability Partnership registered in India (LLPIN: ACM-1205), with its registered office at No. 203, Dev Plaza, Kadri Temple Road, Kadri, Kankanady, Mangalore, Dakshina Kannada, Karnataka 575002, India. You can reach us at support@copilot-buddy.com. Copilot Buddy is an independent project and is not affiliated with, endorsed by, or sponsored by GitHub, Inc. or Microsoft Corporation. "GitHub" and "Copilot" are trademarks of their respective owners.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase from us. By ordering, you confirm that the information you provide is accurate and that you are buying for your own use and not for resale unless we agree otherwise in writing.

3. Products and the collector's edition

We currently offer:

• Copilot Buddy device: a Bluetooth desk companion for the GitHub Copilot CLI. The first run is a numbered collector's edition limited to 100 units. Each paid device is assigned a sequential number (for example, #7 of 100) when payment is confirmed.
• Desk stand: an optional accessory that can be added to a device order or, in India, purchased on its own.
• Firmware license: a license to run Copilot Buddy firmware on one device (see Section 6).

The device is sold without the stand; the stand is an optional add-on. Product photos, illustrations, and specifications are provided for guidance and may differ slightly from the delivered product as we refine the design. Colours may vary between screens and the physical product.

4. Orders, pricing, and availability

Prices are shown on the website at the time of purchase. Hardware prices are listed in Indian Rupees (INR) and, where applicable, include applicable taxes unless stated otherwise at checkout. Current pricing is ₹8,499 for the device and ₹1,499 for the desk stand; we may change prices at any time, but changes do not affect orders already confirmed.

• India: the device and desk stand are sold and shipped within India.
• Outside India: the firmware license is available globally. If you want the physical device outside India, please join the waitlist and we will contact you when we open shipping to your region.

An order is an offer to buy. We may accept or decline it, and we may limit or cancel quantities (including more than one collector's number per person) at our discretion. Because the collector's edition is made to order and limited, availability is not guaranteed until your payment is confirmed and a number is assigned. If we cannot fulfil an order, we will cancel it and refund any amount paid.

5. Payment

Payments are processed by our payment partners: Cashfree Payments for orders within India and Dodo Payments for firmware licenses. We do not see or store your full card or banking details; those are handled by the payment provider under their own terms and security standards. Your order is confirmed only when the provider notifies us that payment has succeeded.

6. Firmware license

Copilot Buddy firmware is licensed, not sold. Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to run one copy of the firmware on a single Copilot Buddy device that you own.

• Each license key binds permanently to one device. The binding cannot be moved to a different device, but you may re-activate the same device with that key as many times as you need.
• The firmware verifies licensing at runtime. An unlicensed device may refuse to operate with the host software. This is intended to protect the limited edition and our work.
• You may not resell, sublicense, rent, share, reverse engineer, decompile, or attempt to extract or circumvent the firmware or its licensing, except to the extent this restriction is prohibited by law.
• We may revoke a license that was obtained fraudulently or used in breach of these Terms, including after a chargeback or refund.

7. Shipping and delivery

Shipping timelines, regions, and tracking are described in our Shipping & Delivery Policy, which forms part of these Terms. The collector's edition is made to order and is expected to ship in the weekend of 15 August 2026. Risk of loss passes to you on delivery to the address you provide.

8. Cancellations, returns, and refunds

Cancellations, returns, and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms. In short: you can cancel a hardware order for a full refund before it ships; firmware licenses are non-refundable once the key has been delivered, except where the law requires otherwise or where we failed to deliver.

9. Warranty and support

The device includes one year of support from the date of delivery against manufacturing defects under normal use. This warranty does not cover damage from accident, misuse, liquid, unauthorised repair, or normal wear. Firmware and software are provided "as is" and "as available"; we offer lifetime firmware updates as a courtesy but do not guarantee uninterrupted or error-free operation. Your statutory rights as a consumer are not affected.

10. Acceptable use

You agree not to:

• use the products or website for any unlawful purpose;
• interfere with, probe, or attempt to gain unauthorised access to our systems or other users' data;
• circumvent licensing, security, or rate limits; or
• misrepresent your identity or payment information.

11. Intellectual property

The Copilot Buddy name, logo, website, firmware, host software, designs, and documentation are owned by Loopdesk or its licensors and are protected by intellectual property laws. Buying a device does not transfer any intellectual property rights to you beyond the limited license in Section 6. Open-source components, where used, remain governed by their own licenses.

12. Third-party services

Copilot Buddy works alongside the GitHub Copilot CLI, which is provided by third parties under their own terms. We are not responsible for changes to, or the availability of, third-party services. Our website and emails also rely on service providers including Cloudflare (hosting), Resend (email), Cashfree, and Dodo Payments (payments).

13. Disclaimers and limitation of liability

To the maximum extent permitted by law, the products and services are provided without warranties of any kind except those expressly stated here. We are not liable for indirect, incidental, special, or consequential losses, or for loss of data, profit, or goodwill. Our total liability arising out of or related to your purchase will not exceed the amount you paid for the product giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including your non-excludable consumer rights.

14. Indemnity

You agree to indemnify and hold Loopdesk harmless from claims, damages, and expenses arising from your misuse of the products, your breach of these Terms, or your violation of any law or third-party right.

15. Changes to these Terms

We may update these Terms from time to time. The version in force when you place an order applies to that order. Continued use of the website after an update means you accept the revised Terms. We will post the effective date at the top of this page.

16. Governing law and disputes

These Terms are governed by the laws of India. Subject to any non-excludable consumer protections that apply to you, the courts at Mangalore, Dakshina Kannada, Karnataka will have jurisdiction over disputes. We encourage you to contact us first so we can try to resolve any issue quickly.
